1. Agreement to Terms

By accessing or using the services provided by Code Craftsmen, a division of NokiaSolar LLC, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Description of Services

Code Craftsmen provides professional software development and technology consulting services, including but not limited to:

• Web application development
• Mobile application development
• Cloud solutions and infrastructure
• System integration services
• Data analytics and AI solutions
• Cybersecurity services

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for project completion
• Respond to communications and requests in a timely manner
• Make payments according to agreed-upon terms
• Provide necessary access to systems and resources as required
• Review and approve deliverables within specified timeframes

4. Project Agreements

Individual projects will be governed by separate project agreements or statements of work that specify:

• Scope of work and deliverables
• Timeline and milestones
• Pricing and payment terms
• Acceptance criteria

In case of conflict between these Terms of Service and a project agreement, the project agreement shall prevail for that specific project.

5. Payment Terms

Unless otherwise specified in a project agreement:

• A deposit may be required before work commences
• Invoices are due within 30 days of receipt
• Late payments may incur interest charges
• We reserve the right to suspend work for overdue accounts

6. Intellectual Property

Client Materials

You retain all rights to materials, content, and data you provide to us for use in your project.

Deliverables

Upon full payment, you will own the custom code and deliverables created specifically for your project, subject to any third-party licenses.

Pre-existing Materials

We retain ownership of any pre-existing tools, frameworks, libraries, or methodologies used in your project. You are granted a license to use these materials as part of your deliverables.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of any agreement.

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However:

• We do not guarantee that software will be error-free
• We are not responsible for issues arising from client-provided materials or third-party services
• Services are provided as-is after the warranty period specified in the project agreement

9. Limitation of Liability

To the maximum extent permitted by law, Code Craftsmen and NokiaSolar LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Our total liability for any claim arising from our services shall not exceed the amount paid by you for the specific services giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Code Craftsmen, NokiaSolar LLC, and their officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of our services
• Your violation of these terms
• Your violation of any third-party rights

11. Termination

Either party may terminate a project agreement with written notice as specified in that agreement. Upon termination:

• Client shall pay for all work completed up to the termination date
• We will deliver all completed work and materials
• Confidentiality obligations shall survive termination

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in San Diego, California.

14. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified terms.
